As part of the workshop “Contracts for the Supply of Artificial Intelligence Systems and Models”, organised by Paradigma, Alessandro Del Ninno, Attorney-at-Law and Partner at FIVERS Law and Tax Firm, will deliver a training session examining the legal and contractual aspects of acquiring, outsourcing and deploying Artificial Intelligence systems and models within business organisations.
The session will explore the main legal challenges associated with AI outsourcing, focusing on strategic considerations in supplier selection, the identification of roles and responsibilities across the AI value chain, and the drafting of essential contractual provisions to ensure effective risk management.
Specific attention will be devoted to the impact of the European Artificial Intelligence Regulation (AI Act) and Italian Law No. 132/2025 on AI supply agreements, particularly with regard to dynamic compliance clauses designed to address the ongoing evolution of applicable legal and regulatory requirements. The programme will also examine personal data protection obligations, the negotiation of data processing agreements, the protection of know-how, non-personal data and intellectual property rights, as well as cybersecurity requirements and incident management.
Further analysis will focus on contractual and non-contractual liability for damage caused by AI systems, contractual mechanisms for allocating risks and responsibilities, and the safeguards required to manage contract termination, business continuity, exit strategies and supplier replacement.
The workshop will provide a practical legal framework for understanding the essential clauses, recurring challenges and negotiation strategies associated with AI supply contracts, with the aim of equipping businesses with effective tools to manage relationships with technology providers, protect their information assets and address the legal, regulatory and operational risks arising from the adoption of Artificial Intelligence.
